Croatia Airlines shareholders to vote on delisting from Zagreb Stock Exchange
Croatia Airlines is proposing to withdraw its shares from the Zagreb Stock Exchange, with shareholders set to vote on the move at an upcoming General Meeting.
The Croatian national airline announced the proposal on Friday, publishing the notice of the General Meeting through the Zagreb Stock Exchange.
The proposal covers all 9,899,755 ordinary shares issued by Croatia Airlines, each with a nominal value of €1, currently listed on the regulated market under the ticker CRAL-R-A.
The company says the proposed withdrawal is based on the very low level of trading in its shares over an extended period, reflected in a small number of transactions, low trading volumes and limited investor interest.
According to the proposal, the listing is no longer fulfilling its intended purpose given the negligible level of trading activity.
Shareholders offered buyback option
Under the proposed decision, shareholders who vote against the withdrawal of the shares from the regulated market will be entitled to request that Croatia Airlines purchase their shares at fair value.
Shareholders would have two months from the date the delisting decision is entered into the court register to submit their buyback request to the company.
Croatia Airlines would then be required to complete the purchase within three months of the decision’s registration.
The proposed fair compensation would generally be calculated using the weighted average price of the shares on the Zagreb Stock Exchange during the three months preceding publication of the General Meeting notice.
However, if the shares were traded on fewer than one-third of trading days during that period, the fair value would instead be established through a valuation report prepared by an independent authorised valuer and reviewed by an independent authorised auditor.
Decision and next steps
The proposed decision would enter into force on the date it is registered in the court register if it receives more than nine-tenths of the votes cast.
If it does not achieve that majority, the decision would take effect six months after registration.
The General Meeting, which will be held on 7 December 2026, is also being asked to authorise the management board to acquire the company’s own shares, up to a maximum of 2% of its share capital, to facilitate the purchase of shares from shareholders who oppose the withdrawal.
That authorisation would remain valid for five years from the date it is adopted.
Shareholders wishing to attend the General Meeting must be registered in the Central Depository and Clearing Company (SKDD) seven days before the meeting and notify Croatia Airlines in writing of their intention to participate by the same deadline.
The proposed withdrawal would mark a change in the status of Croatia Airlines shares, which have been available for trading on the Zagreb Stock Exchange.
